Terms of Service

The contract for an agency's use of Axtant, including account authority, automated marking, exception controls, billing, and service limits.

1. The agreement

These Terms of Service are between Axtant LLC, a Wyoming limited liability company with entity ID 2026-001981177 and a principal office at 30 N Gould St Ste N, Sheridan, Wyoming 82801, and the legal agency that creates an Axtant account. The person accepting these terms confirms that they can bind that agency.

Axtant provides worksheet ingestion, student submission collection, automated marking, evidence-based exception review, private feedback release, cohort synthesis, usage metering, and account administration. The order shown at paid signup and these terms form the agreement.

2. Agency account and authority

  • The agency workspace is the tenant and is responsible for owner, admin, and tutor access.
  • Owners control billing and owner-level settings. Admins may manage tutors and operational records but cannot appoint or remove the owner. Tutors see only assigned subjects and cohorts.
  • The agency must keep membership details current, protect sign-in methods and invitation links, and notify Axtant promptly of suspected unauthorised access.
  • Students do not receive product accounts. The agency is responsible for the roster details and collection authority it supplies.

3. Agency content and instructions

The agency retains its rights in worksheets, guides, exemplars, student work, marking decisions, and feedback. The agency grants Axtant a limited right to process that content only to provide, secure, support, evaluate, and improve the agency's own service as described in the Data Terms.

The agency confirms that it has the rights and permissions needed to upload the material, instruct Axtant to process it, and provide feedback to the selected student.

4. Automated marking and agency judgment

Axtant marks work against the questions, guides, marked examples, and accepted refinements supplied by the agency, including answers whose marks the agency's tutors have confirmed or corrected. Results that pass the active evidence and confidence policy may complete automatically. Low-confidence, ambiguous, and materially conflicting results are held for an authorised tutor instead of being silently released.

The agency controls its marking standard and may inspect results. Where Axtant requests tutor review, an authorised workspace member may approve or adjust the proposed mark before feedback is released. The agency remains responsible for student communication and consequential academic decisions. Axtant does not guarantee that every output is complete or correct.

5. Fees and billing

Axtant offers two fixed regional prices. Stripe presents A$150 per month with additional written marks at A$0.15 each to customers located in Australia, and US$100 per month with additional written marks at US$0.10 each elsewhere. The currency shown and accepted at Stripe Checkout becomes the subscription currency for renewals, overage, refunds, and billing communications. The first 1,000 successfully marked written marks available in each billing period are included and overage is billed in arrears. Multiple-choice marking is free. Included usage does not roll over and tutor seats are unlimited.

A billable event exists only after a valid written mark record succeeds. Failed, blank, duplicate, unmapped, or cancelled work is not billable. A retry or tutor override does not create another usage event.

Stripe Tax and Adaptive Pricing are off at launch. Axtant is not registered for Australian GST at launch, so invoices do not include a GST line. The agency authorises Stripe to charge the selected payment method and must keep it current.

6. Cancellation, suspension, and refunds

The agency may cancel through the billing portal. Cancellation stops renewal at the stated effective time but does not reverse valid overage or earlier charges. Axtant may suspend access for unpaid invoices, security risk, unlawful use, or a material breach after notice where practical.

The initial-payment guarantee is governed by the Refund and Cancellation Policy. No other refund is promised unless required by law.

7. Availability and changes

Axtant may change providers, models, prompts, schemas, security controls, or product functions to maintain the service. Material changes that affect customer data, price, or these terms will be notified before they take effect where practical.

The service is provided on an as-available basis. To the extent permitted by law, Axtant disclaims implied warranties that cannot reasonably apply to an online marking service. Rights that cannot be excluded under applicable law remain unaffected.

8. Liability

To the extent permitted by law, neither party is liable for indirect, special, incidental, or consequential loss, or for lost profits, revenue, goodwill, or data. Axtant's aggregate liability arising from the service is limited to the fees the agency paid to Axtant in the 12 months before the event giving rise to the claim.

This limit does not apply to fraud, wilful misconduct, an obligation that cannot lawfully be limited, or the agency's payment obligations.

9. Governing law and notices

Wyoming law governs these terms without regard to conflict-of-law rules. Courts located in Sheridan County, Wyoming have exclusive jurisdiction, except where mandatory consumer or local law requires otherwise.
